On Friday 19 May, our delegation could attend the “Legal and tax seminar on M&A investments into the Netherlands” seminar which was hosted by Nishimura & Asahi in collaboration with Houthoff.
At this seminar which where English and Japanese language were combined, Mr. Yoshiyuki Kizu (M&A Partner, Nishimura & Asahi) and Mrs. Kyoko Tollenaar (M&A Partner, Houthoff; Board Member, Dujat) gave a detailed M&A Update, zooming in on trends such as ESG: Environmental, Social, Governance FDI: Foreign direct investment in NL, and FSR: Foreign subsidies regulation.
The second part of the seminar was a Tax Update by Mr. Yasutaka Nishikori (Tax Partner, Nishimura & Asahi), and Mr. Jeroen van Mourik (Tax Partner, Houthoff), focusing on the latest tax developments and amendments and Dutch M&A tax considerations.

The seminar will address the legal and tax M&A environment in the Netherlands (and more broadly the EU) for Japanese companies that are considering M&A and foreign direct investment into the Netherlands. During the seminar specific topics will be addressed such as post COVID M&A negotiation, latest EU tax developments, best practices by Japanese companies for successful investments into the Netherlands and the latest developments in choosing your European hub/holdco jurisdiction (e.g. substance, tax treaties, tax incentives). Lastly, there will be ample time for networking.
